1. Acceptance of Terms & Updates

These Terms and Conditions ("Terms") govern your access to and use of MaxBlogNaija (the "Website"). By accessing or using any part of the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any future modifications. We reserve the right to update or change these Terms at any time without prior notice. The most current version will be posted with an updated "Effective" date. Your continued use after such changes constitutes your acceptance of the new Terms.

If you are using the Website on behalf of a legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you must not access the Website.

10. Governing Law & Dispute Resolution

10.1 Governing Law. These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. The Nigerian courts shall have exclusive jurisdiction, except as provided in the informal dispute resolution clause below.

10.2 Informal Resolution. Before filing any claim, you agree to attempt to resolve the dispute informally by contacting maxblognaija@gmail.com. We will attempt to resolve the matter within thirty (30) days. If the dispute is not resolved, either party may initiate formal proceedings.

10.3 Arbitration (Optional for International Users). For international users (outside Nigeria), at your option, disputes may be resolved through binding arbitration administered by the London Court of International Arbitration (LCIA) or the ICC International Court of Arbitration. The arbitration shall be conducted in English, and the seat shall be Lagos, Nigeria. This clause does not restrict your right to bring an action in your local small claims court or to file a complaint with a data protection authority (e.g., ICO, CNIL).

10.4 Class Action Waiver. To the fullest extent permitted by law, any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.

11. Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be reformed or limited to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

12. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by MaxBlogNaija, constitute the entire agreement between you and MaxBlogNaija regarding the use of the Website, superseding any prior agreements between you and MaxBlogNaija (including, but not limited to, any prior versions of these Terms).
